1. Introduction

Welcome to MarktSynch Inc. ("we," "us," or "our"), a social media platform accessible at https://www.marktsynch.com/. These Terms of Use ("Terms") govern your access to and use of our platform and all related services. By accessing our platform, creating an account, or using our services, you expressly acknowledge and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using our platform and services.

MarktSynch operates a social media platform that connects entrepreneurs, startups, and businesses in the food service, food production, beverages, hospitality, and economic/financial media sectors. Our platform enables content sharing, business promotion, marketplace functionality, and community engagement.

2. Definitions

"Company," "We," "Us," or "Our" refers to MarktSynch Inc., a federal Canadian corporation (Corporation Number: 1702827-0) with its registered office at 1386 Sault Street, Ottawa, ON K1E 1G9, Canada.

"User," "You," or "Your" refers to any individual or business entity that accesses our platform, creates an account, or uses our services.

"Platform" refers to our social media platform, website, mobile applications, and all related services and functionality.

"Content" refers to all materials uploaded, posted, or shared by users, including videos, images, text, business information, and other digital materials.

"Services" refers to all features and functionality provided through our platform, including social networking, content sharing, marketplace features, business listings, and communication tools.

3. Incorporated Policies

These Terms work in conjunction with our other governing documents, which are incorporated by reference and form part of your agreement with us. Our Privacy Policy governs all data collection, processing, user rights, privacy-related matters, cookies usage, international data transfers, and your privacy rights under applicable laws. Our Copyright and Content Policy governs all intellectual property matters, content ownership, content moderation procedures, DMCA compliance, copyright infringement reporting, community guidelines, and enforcement actions. All three documents together form the complete agreement governing your use of our platform.

4. Platform Services

4.1 Core Services

MarktSynch provides a comprehensive social media platform that offers business profile creation and management, content sharing through videos, images, and posts, and social networking opportunities with industry peers and potential customers. Our platform includes business listing and discovery features that help users find relevant services and partners in their geographic area and industry sectors.

Our marketplace functionality enables product and service promotion capabilities, facilitates connections between buyers and sellers, provides event listing and promotion features, and offers access to economic news and market analysis. The platform's community features include user-to-user communication and messaging systems, community discussions and forums, event coordination and promotion tools, and cultural and economic event networking opportunities.

4.2 Service Availability

All services are provided subject to availability and our ongoing platform development efforts. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to users, except in emergency situations where immediate action is required for legal compliance or security purposes.

5. User Accounts and Registration

5.1 Account Requirements

To access our platform services, you must be at least 18 years of age and capable of forming legally binding agreements under applicable law. You must provide accurate and complete registration information during the account creation process and maintain current and truthful account information throughout your use of our platform. All users must comply with applicable laws and our platform policies, including these Terms, our Privacy Policy, and our Copyright and Content Policy.

5.2 Business Verification

For business accounts, we require verification as detailed in our Copyright and Content Policy, including proof of Canadian business registration or federal incorporation and submission of supporting documentation as deemed necessary by our verification team. Our business verification process helps maintain platform integrity and protects legitimate businesses from fraudulent competition.

5.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether authorized by you or not. You must immediately notify us of any unauthorized access or security breaches and cooperate with our investigation of such incidents. We recommend using strong passwords and enabling available security features to protect your account.

6. User Conduct and Acceptable Use

6.1 Permitted Uses

You may use our platform to create and share original business-related content that promotes your legitimate commercial activities, network with other professionals in relevant industries, and participate constructively in community discussions and events. Our platform is designed to facilitate access to economic news and market analysis while providing opportunities for meaningful business relationship development.

6.2 Prohibited Activities

You agree not to engage in activities prohibited under our Copyright and Content Policy, which provides comprehensive guidelines regarding legal violations, intellectual property infringement, platform abuse through automated systems or unauthorized access, content violations including hate speech and spam, and business misrepresentation or fraudulent practices.

Additionally, you may not create multiple accounts to circumvent platform restrictions or enforcement actions, interfere with other users' ability to use platform services through disruptive behavior or technical interference, attempt to reverse engineer or compromise platform security through unauthorized access or system manipulation, or use the platform for any unlawful commercial purposes including illegal transactions or services.

7. Content and Intellectual Property

7.1 Content Policies

All matters related to content ownership, intellectual property rights, content moderation procedures, and copyright compliance are governed by our Copyright and Content Policy. Users must comply with all content standards and intellectual property requirements outlined in that policy, which details our automated and human moderation processes, enforcement procedures, and user rights regarding content disputes.

7.2 Platform Intellectual Property

MarktSynch retains ownership of all platform-specific intellectual property including proprietary software, algorithms, user interface design elements, and unique platform features not specifically addressed in our Copyright and Content Policy. Unauthorized use, reproduction, or distribution of our platform intellectual property is strictly prohibited and may result in legal action.

8. Business Operations and Marketplace

8.1 Business Listing Requirements

All business listings must represent legitimate, registered business entities with accurate and current information as verified through our business verification process detailed in our Copyright and Content Policy. False or misleading business representations are grounds for immediate account suspension and may result in permanent platform removal.

8.2 Marketplace Conduct

Users engaging in marketplace activities must accurately represent their products and services, comply with all applicable consumer protection laws in their jurisdiction, honor transaction commitments and agreements made through our platform, and maintain appropriate business licenses and permits required for their commercial activities.

8.3 Transaction Disclaimer

MarktSynch facilitates connections between buyers and sellers but is not a party to any transactions conducted between users. Users engage in marketplace activities entirely at their own risk and responsibility, and we strongly recommend conducting due diligence before entering into any business relationships or transactions facilitated through our platform.

9. Privacy and Data Protection

All privacy-related matters, including data collection practices, information processing procedures, user rights under applicable privacy laws, international data transfers, and security measures, are governed by our Privacy Policy. By using our platform, you consent to our privacy practices as described in that policy and acknowledge that you have read and understood our data handling procedures.

Users must respect the privacy of other platform users and may not attempt to collect personal information outside of normal platform interactions or use our platform to harvest personal data for unauthorized purposes.

10. Platform Security and Safety

Our comprehensive security framework, data protection protocols, incident response procedures, and breach notification processes are detailed in our Privacy Policy. Users must comply with all platform security requirements, report security incidents or suspicious activities promptly to our support team, and cooperate with security investigations when requested.

You must use platform features responsibly and safely, report violations of our Terms or incorporated policies through appropriate channels, respect community guidelines and professional standards in all interactions, and maintain appropriate business conduct that reflects positively on our professional community.

11. Service Terms and Limitations

11.1 Service Modifications

We may modify platform features, functionality, or availability at any time as necessary for technical improvements, legal compliance, or business requirements. Material changes will be communicated through email notifications to registered users, prominent platform announcements and notices, and updates to these Terms with appropriate advance notice periods to allow users to review changes.

11.2 Service Interruptions

We may interrupt platform access for scheduled maintenance and updates, emergency security measures, technical upgrades or improvements, or legal compliance requirements that necessitate temporary service suspension. Users acknowledge that temporary service interruptions may occur and that we are not liable for damages resulting from reasonable maintenance activities or emergency security measures.

12. Financial Terms

12.1 Service Fees and Payment Structure

Platform access for visitors searching for services or products remains free of charge at all times. However, business users including restaurants, farmers, retailers, public or private media providing economic updates, startups, and freelancers who produce, distribute, or sell food and beverages, disseminate economic and financial news, or wish to use MarktSynch tools for promotion and visibility purposes will be charged subscription fees after an initial three-month free trial period.

All business services are provided free of charge for the first three months following acceptance of these Terms and validation of a credit/debit card subscription. Automatic billing begins in the fourth month and continues according to the selected subscription plan.

Our service plans include basic registration with local visibility, custom business profiles, and content upload capabilities, as well as premium plans offering multiple business registrations, national visibility, enhanced analytics dashboards, and expanded content features.

12.2 Marketplace Event Transactions

Our Marketplace Event feature differs from traditional online marketplaces and consists of an event-focused platform where organizations can publish food and drink festivals, farmer events, and government-sponsored public projects or events. All transactions for Marketplace Event listings are processed directly through Wix platform's integrated payment tools.

MarktSynch does not facilitate direct user-to-user sales transactions and expressly disclaims all liability for any financial transactions conducted through our Marketplace Event features. All payment processing, event management, and related services are handled through the Wix platform infrastructure, and users acknowledge that any payment-related disputes must be resolved directly with Wix or the relevant transaction parties.

12.3 Payment Policy

All payments made through our platform are final and non-refundable once these Terms and Conditions have been accepted and payment has been processed. Users acknowledge and agree that no refunds will be provided for subscription fees, event listings, or other paid services offered through our platform unless otherwise required by law or specifically agreed to in writing by MarktSynch.

13. Disclaimers and Limitations

13.1 Service Disclaimers

Our platform and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited by applicable consumer protection laws.

We do not warrant that platform functions will be uninterrupted, error-free, or free from security vulnerabilities, as no internet-based service can guarantee complete reliability or absolute security against all potential threats.

13.2 Limitation of Liability

To the maximum extent permitted by applicable law, MarktSynch shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of our platform. This limitation includes damages for loss of profits, goodwill, data, business opportunities, or business interruption, whether caused by breach of contract, tort, negligence, or otherwise.

MarktSynch provides a platform for content sharing but does not endorse or assume legal responsibility for user-generated content, which remains the sole responsibility of its creators. This limitation of liability does not affect any rights that cannot be excluded or limited under applicable consumer protection laws.

 

14. Indemnification

You agree to defend, indemnify, and hold harmless MarktSynch, its affiliates, officers, directors, employees, agents, successors, assigns, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising from your violation of these Terms or incorporated policies, to the fullest extent permitted by applicable law. This indemnification also covers your use or misuse of our platform, your content or business activities conducted on our platform, third-party claims related to your account or activities, and any transactions or interactions with other users that result in legal disputes or claims.

15. Termination

15.1 Termination Rights

You may terminate your account at any time by following our account closure procedures available in your account settings or by contacting customer support directly. We may suspend or terminate your account for violations of these Terms or incorporated policies, following the enforcement procedures detailed in our Copyright and Content Policy.

15.2 Effect of Termination

Upon termination of your account, your right to access and use our platform immediately ceases, and we may delete your account and associated content according to our data retention policies outlined in our Privacy Policy. You remain liable for all activities that occurred before termination, and certain provisions of these Terms that by their nature should survive termination will continue to apply.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of law principles that might otherwise require application of another jurisdiction's laws.

16.2 Dispute Resolution Process

Any dispute arising from or relating to these Terms must first be addressed through informal negotiation by contacting us directly at info@marktsynch.com with a detailed description of the dispute and proposed resolution.

For disputes that cannot be resolved through alternative dispute resolution mechanisms due to legal restrictions or the nature of the dispute, you irrevocably submit to the exclusive jurisdiction of the courts of Ontario, Canada, for the resolution of any legal proceedings. You waive any objection to venue in these courts and agree not to initiate or pursue litigation in any other jurisdiction.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class action, consolidated action, or representative action, except where such waiver is prohibited by applicable consumer protection laws in your jurisdiction.

17. Modifications and Updates

17.1 Terms Updates

We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated through multiple channels including email notification to registered users, prominent platform announcements, and updated effective dates on this document with clear indication of what has changed.

17.2 Continued Use Acceptance

Your continued use of our platform after Terms modifications become effective constitutes your acceptance of the updated Terms. If you disagree with any changes, you must discontinue use of our platform and may close your account through our standard account closure

procedures.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and Copyright and Content Policy, constitute the entire agreement between you and MarktSynch regarding your use of our platform and supersede all prior agreements, understandings, or communications relating to the subject matter.

18.2 Severability

If any provision of these Terms is held unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to achieve its intended purpose to the greatest extent possible under applicable law.

18.3 Assignment and Transfer

You may not assign your rights or obligations under these Terms to any third party without our prior written consent. MarktSynch may assign its rights and obligations under these Terms without restriction, including in connection with any merger, acquisition, or sale of assets.

18.4 Force Majeure

We are not liable for any delays or failures in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet or telecommunications failures, cyber attacks, or other force majeure events that materially impact our ability to provide platform services.

These Terms are effective as of September 30, 2025 and govern all access to and use of the MarktSynch platform and services.
